These Terms of Use ("Terms") explain the rules for using Terena Events, an event ticketing service at terena.events, and any related services, including event pages, checkout, digital passes, and door scanning (together, the "Service"). Terena Events is operated by Terena Group LLC, a New York limited liability company ("Terena Events," "we," "our," or "us").
1. Acceptance of Terms
You agree to these Terms when you tap a button next to a notice that says doing so means you agree to them, for example when you request a sign-in code to create your account or sign in, or at any other step where we show that notice. Using the Service also means you accept these Terms. Our Privacy Policy explains how we handle your information. If you do not agree to these Terms, do not use the Service.
Where we show the notice, it links to the Terms you can read and save before proceeding. Acceptance of these Terms does not by itself provide consent to optional marketing.
You must be at least 18 years old to create an account or use the Service. Do not use the Service if you are not. By using the Service, you confirm that you are 18 or older and able to enter into a binding contract. An individual event may state a higher minimum age (see Section 6.5).
If you use the Service on behalf of a business or other organization, you confirm that you are authorized to accept these Terms on its behalf, and "you" includes that organization.
2. Description of Service
Terena Events is a ticketing platform. It lets people and organizations that run events publish event pages, sell or give away admission, and check guests in at the door. It lets guests buy Tickets, receive Passes, share Passes with friends, and show their Pass at the door.
In these Terms:
- A "Host" is the person or organization identified as host on an event page, acting through the account that created the event.
- A "Guest" is anyone who buys, claims, or holds a Pass.
- A "Ticket" is a license to attend a specific event (see Section 6.1).
- A "Pass" is the digital record of a Ticket, with a QR code, shown in the Service.
- A "claim link" is a link the Service creates so a buyer can give an extra Pass to someone else.
- An "Order" is a purchase of one or more Tickets.
- "Door Staff" are people a Host authorizes to scan Passes and check Guests in.
- "Host Content" is defined in Section 8.4.
- The "Seller" is Terena Group LLC, which sells Tickets as described in Section 5.2.
2.1 Who hosts each event
The Host's name is shown on the event page. Each Host is responsible for organizing and running its event, including the venue, permits, safety, alcohol service, and the admission rules that apply to it.
We provide the ticketing Service. If we also organize or operate an event, we are responsible for that event as Host. Our disclaimers about events we do not organize do not excuse those responsibilities. For events we do not organize or operate, our role is described in Section 7.
Hosts may limit attendance to named invited Guests or people with an invitation link. The Host must disclose the applicable invitation and eligibility rules before purchase or claim, subject to Section 6.4 and applicable law. Invitation-only attendance does not by itself make an event page or link private.
3. Your Account
3.1 Signing in
You sign in with a U.S., Canadian, U.K. or Australian mobile phone number that can receive our sign-in texts. We text you a one-time code to confirm you control that number. Each phone number can hold one account, and each person may have only one account. You must provide accurate information, including your real first and last name and your date of birth, and keep it up to date. Your name, date of birth, and phone number can't be changed in the Service, so email us to correct one.
3.2 Your phone number
Your phone number identifies your account and cannot be changed in the Service. You are responsible for keeping access to it. If you lose or give up your phone number, contact us at [email protected]. If we believe a number may have been reassigned to someone else, for example because the account has been inactive for a long time, we may require additional verification before showing account details.
3.3 Account security
You are responsible for activity on your account that you authorize or that results from not keeping your phone and sign-in codes secure. Never share a sign-in code; we will never ask you for one. Tell us promptly at [email protected] if you believe your account has been used without your permission.
3.4 Your name on Passes
Your first and last name appear on Passes you hold, and your name and display name may be shown to Hosts, Door Staff, and other Guests as described in our Privacy Policy.
4. Text Messages
4.1 Sign-in codes
When you enter your phone number and ask for a code, you agree that we (through our messaging provider) may send a one-time sign-in code by text message to that number. We send one message per request. Message and data rates may apply. Sign-in codes are required to use the Service and are not marketing. Codes come from our messaging provider's numbers, and we may not receive replies; a STOP reply can affect delivery of later codes.
4.2 Service messages
We may text you about your account, your Orders, and events you hold Passes to, for example to tell you that an event has been cancelled, postponed, or changed, with any permission required by law. These messages must concern the service or transaction, not promote unrelated events. Message and data rates may apply. You may ask us to stop these messages by contacting support or replying STOP where replies are supported. We will explain another available way to obtain essential event information. Requesting a sign-in code is not consent to marketing.
4.3 Optional event texts
We don't currently send marketing texts. If we offer them, you may choose to receive texts from Terena Events about upcoming events on Terena Events ("event texts"), and we will ask for your agreement first. Your account settings include an event-texts preference, but we do not send event texts on it today. This is optional and not a condition of buying or claiming any Ticket. If you opt in:
- Event texts may be sent using automated technology to the phone number on your account.
- Message frequency varies.
- Message and data rates may apply.
- You can stop event texts at any time by replying STOP (or a similar word, such as QUIT, END, CANCEL, UNSUBSCRIBE, or REVOKE), by turning them off in your account settings, by emailing [email protected], or by any other reasonable means of telling us. We will honor your request as soon as reasonably practicable, or sooner where required by law. We may send one nonpromotional confirmation as permitted by law. Reply HELP for help.
- Mobile carriers are not liable for delayed or undelivered messages.
We do not share or sell your mobile number or text-message consent to third parties or affiliates for their marketing.
4.4 Accurate number
You confirm that the phone number you provide is yours or that you are authorized to use it. If you give up the number, contact us so that we don't text a number that is no longer yours. The Service does not currently support changing your account phone number yourself.
5. Buying Tickets and Payments
5.1 Prices and fees
Every Ticket price we show is in U.S. dollars and is the total you pay. We do not currently add separate service fees or tax. If we add either, we will show it, with the total, before you pay. The price will not increase during checkout. If a service fee is ever charged, it is refunded whenever the Ticket price is refunded.
5.2 Who sells your Tickets
Terena Group LLC is the Seller of Tickets and the merchant of record. Ticket payments are collected through Terena Group LLC's Stripe account. We retain the payment, refund, and dispute responsibilities that apply to us as Seller under payment-provider and card-network rules and applicable law. Your card statement uses Terena Group LLC's statement descriptor. The event page names the Host, who organizes and runs the event.
Payments are processed by Stripe, Inc. ("Stripe") through Stripe's hosted checkout. Stripe collects and handles your payment details under the Stripe Privacy Policy. We do not receive or store your full card number. By paying, you authorize the charge for the total shown at checkout.
5.3 Order confirmation
An Order is complete, and Passes are issued, only after we receive confirmation from Stripe that your payment succeeded (for paid Orders) or you complete checkout (for free Orders). We may cancel an Order and refund the full amount paid if we reasonably suspect the payment is fraudulent, if the event sells out before your payment is confirmed, if a pricing error occurred, or if the Order breaks these Terms.
5.4 Limits
Hosts may limit how many Tickets one person can buy, and each person may hold only one Pass per event. Don't use multiple accounts, bots, or other means to get around these limits.
5.5 Promo codes
Promo codes and complimentary ("comp") codes are issued by Hosts. They may carry a usage limit and an expiration date. Only one code applies per Order. They have no cash value and may not be sold. We may refuse or reverse a code that was obtained or used in breach of these Terms.
5.6 Taxes
If a sales, admissions, or similar tax applies to a Ticket, Terena Group LLC, as Seller, collects and remits it as the law requires. Each Host is responsible for its own taxes on any amount we pay it.
6. Tickets, Passes, and Attending Events
6.1 A Ticket is a license
A Ticket is a revocable, personal license to attend a specific event on the terms set by the Host and these Terms. It gives you no ownership interest in the event, venue, or Service. Your contractual and statutory admission, refund, and transfer rights remain intact. It may be revoked only as these Terms and applicable law allow.
6.2 Refunds
Ticket sales are final and non-refundable, and checkout says so before you pay, except:
- where the event page states a more generous refund policy, which then applies;
- if an event is cancelled, the original buyer receives a full refund of the amount paid, to the original payment method, within 10 business days after the cancellation is announced, unless the event page stated a different policy before purchase and the law allows it. If an event is postponed or materially changed, the original buyer may ask for a refund by emailing [email protected], and the refund policy the event page states applies, together with all mandatory rights. A material change is a change of date, venue city, or anything else a reasonable Guest would consider important. We process refunds owed under that policy, these Terms, or applicable law to the original payment method;
- in the other cases these Terms describe: an Order we cancel (Section 5.3), refusal or removal where a refund is due under Section 6.7, account deletion with affected Passes (Section 16.1), and cancellation or suspension where a refund is due under Section 16.2; and
- where applicable law, including the law of the state where the event is held, gives you a right to a refund. You keep that right, and nothing in these Terms limits any refund or other right you have under applicable consumer protection law.
A Host that sets a different refund policy must state it on the event page before purchase. If the event page says nothing, this Section is the policy. The policy in effect when you bought your Ticket applies; a later change cannot reduce your existing rights.
Required refunds take priority over Host discretion. Host authorization is not required for a refund required by law, the policy disclosed before purchase, or these Terms. Any replacement date is measured from the original event date, not from a previously postponed date. The Host must promptly notify the buyer and known Pass holders of a cancellation, postponement, or material change and explain the available choices and any lawful deadlines within 3 business days. An already-owed refund is not withdrawn by later rescheduling. These provisions do not limit our obligations as Seller (Section 5.2).
Refunds go to the original buyer, not to someone who claimed a Pass. The refund for an affected Pass is the amount actually paid for it after discounts, including any fees or taxes we collected on it. Free Passes have no cash refund value. We do not deduct payment-processing fees from a refund promised under these Terms. Refunds must be handled promptly and within the applicable legal or contractual deadline. If a refund to the original payment method fails, we contact the buyer to arrange a lawful alternative consistent with the payment provider's rules. A pending or failed refund is not a completed refund; an amount already returned by refund or final payment reversal is not paid twice.
Questions about refunds may be sent to [email protected].
6.3 Sharing Passes with friends
If you buy more than one Ticket, the Service gives you a claim link for each extra Pass. Send the link to the person you are buying for. They sign in, provide their name, and become the holder of that Pass.
- A Pass that hasn't been claimed will not admit anyone at the door.
- Until a claim link is used, you can cancel it and get a new one.
- Claiming a Pass requires a U.S., Canadian, U.K. or Australian mobile phone number that can receive sign-in texts and being 18 or older and meeting any age limit the event page states, subject to the transfer rights in Section 6.4.
- Claiming does not change who holds an already claimed Pass; Section 6.4 still governs transfers.
- You remain the buyer of every Pass in your Order for payment, refund, and support purposes.
Claim links are the Service's way to give an unclaimed extra Pass to someone else. Any earlier claim deadline must be disclosed before purchase. Not claiming or using a Pass does not alone create a refund right; the exceptions in these Terms and applicable law still apply. Section 6.4 governs other legally protected transfers.
6.4 Transfer, resale, and copying
Where the law of the state where the event takes place gives Ticket holders a right to transfer or resell Tickets, you keep that right. You may contact [email protected] for assistance; our permission is not required for a transfer or resale the law protects. A lawful transfer or resale alone is not grounds to cancel a Pass or refuse entry. The restrictions below apply only to the extent consistent with those rights. Otherwise, you may not:
- sell, resell, auction, or offer to sell a Pass or claim link, or use one for commercial purposes;
- copy, share screenshots of, alter, or forge a Pass or its QR code; or
- use a Pass or claim link obtained through fraud, unauthorized resale, or a breach of these Terms.
Each QR code admits one person once. Once a code has been scanned, it will not admit again, so a copy can leave the real holder unable to enter. An altered or forged code will not admit. We or the Host may cancel Passes obtained or used in breach of this Section without a refund.
6.5 Age limits and ID
Hosts may set a minimum age for their events, such as 21+, and may require valid government-issued photo ID that matches the name on the Pass. The Host must state any age limit and ID requirement before you buy, for example in the event description. Don't buy or claim a Pass for an event whose age limit you don't meet. If you are refused entry because you don't meet an age limit or ID requirement that the Host disclosed before you bought or claimed, you won't receive a refund (see Section 6.7).
Account setup does not independently verify your age or identity. Dates of birth are self-reported. The Host, venue, and their staff are responsible for the required ID and eligibility checks at the event, including before alcohol service.
6.6 Alcohol
Whether alcohol is available at an event, and how it is provided, is decided by the Host. Terena Events does not itself sell, serve, or supply alcohol at any event.
- Each Host is responsible for alcohol at its event, including obtaining any license or permit the law requires (or using a venue or caterer authorized to provide alcohol at that event), checking age and ID before anyone is served, refusing service to anyone who is underage or visibly intoxicated, and complying with all laws on alcohol.
- The Host must say on the event page whether alcohol will be available and whether it is included in the Ticket price.
If you drink at an event, you are responsible for your own conduct, including not driving after drinking. You must be at least 21 to drink alcohol in the United States.
6.7 Entry and conduct
The Host, the venue, and their Door Staff and security may refuse entry to, or remove, anyone for one of these reasons:
- an invalid, duplicate, unclaimed, or already scanned Pass;
- not meeting the event's age limit or not showing valid ID when required;
- intoxication, harassment, violence, threats, or carrying weapons or illegal items;
- breaking the event or venue rules or the law; or
- endangering yourself or others.
Refusal or removal must be lawful. No refund is owed if the refusal or removal results from your own misconduct or from your failing an eligibility or entry requirement clearly disclosed before purchase or claim, subject to applicable law. The Host and venue must make their entry rules available before purchase. You must follow reasonable safety instructions at the event, including lawful bag checks; these rules do not authorize unlawful discrimination.
An erroneous invalid, duplicate, or already-scanned result does not by itself establish misconduct. Staff must make a reasonable effort to verify valid admission and correct a Service or staff error. If entry is refused because the venue is full, because of our or the Host's error, or for another reason not justifying forfeiture under this Section, the original buyer receives a refund for the affected Pass under Section 6.2. Re-entry remains at the Host's discretion, subject to law.
6.8 Photography
Events may be photographed or recorded by the Host, the venue, or other attendees. Terena Events is not responsible for photos or recordings made by others. We will not use your name, portrait, or picture to advertise or promote the Service or other events without your separate written consent, and a Host may use Guest information only to run its event (Section 8.2). If you don't want to be photographed by the Host, tell Door Staff or email us.
6.9 Risks of attending events
Attending live events involves risks that are inherent in the activity, including crowds, loud sound, lighting and special effects, physical activity, weather, and the conduct of other attendees. These risks can lead to illness, injury, property loss or damage, or death. We tell you this so you can decide whether to attend. Nothing in these Terms releases anyone from liability for their own negligence or misconduct, or waives a right that the law does not allow you to waive. This Section is subject to the "Personal injury and property damage" paragraph of Section 13.
6.10 Chargebacks
If you have a payment problem, you may contact [email protected] for help. You do not have to contact us before exercising a billing-error right that does not require merchant contact, and contacting us does not extend your bank's dispute deadlines. We do not suspend an account merely because someone makes a good-faith payment dispute. Bad faith requires evidence of knowing dishonesty; attendance alone does not establish it.
Where reasonably necessary to prevent fraud or duplicate reimbursement, we may temporarily restrict Passes directly affected by the disputed amount while we investigate, notify the buyer where lawful, and provide prompt support before the event. We will not restrict an undisputed Pass solely because it is in the same Order. If payment is finally reversed, we may cancel the corresponding unused Passes, subject to applicable law and any remaining admission or refund entitlement. We reconcile refunds with payment disputes to avoid duplicate reimbursement.
To respond to a dispute, we may share Order, Pass, and check-in information with Stripe and the card networks. This does not limit your rights under law or your card agreement.
7. Events Hosted by Others
This Section applies only to events we do not organize or operate.
- The Host, not Terena Events, runs the event. Providing ticketing and related technology does not by itself make us the organizer, promoter, or venue operator. The Host is responsible for the event, including:
- its description and content;
- the venue, permits, and licenses;
- safety, security, and accessibility;
- alcohol at the event (Section 6.6);
- compliance with applicable law; and
- any cancellation, postponement, or change, and refund decisions within Section 6.2.
- We don't review events. We do not guarantee the accuracy, quality, safety, or legality of any event or Host, or that an event will take place as described.
- Our role in payments is described in Section 5.2.
- Event disputes should be directed to the Host. We may help resolve them and must perform any refund, payment, or other obligation these Terms or applicable law impose on us. This Section does not exclude responsibility for our own acts or omissions or any nonwaivable duty.
8. Hosts and Door Staff
If you host an event on the Service, this Section applies in addition to the rest of these Terms. By hosting an event, you accept it. We may limit hosting to accounts we choose, for business reasons. Selling paid Tickets is available only to Hosts we approve for it; other Hosts may offer free events. Choosing an account is not a review of its events, safety, licenses, or insurance, and we make no representation about them. We may decline or remove any event or Host at our discretion.
8.1 Host responsibilities
You are responsible for your events, including:
- being at least 18 and, if you host for an organization, being authorized to bind it;
- describing each event accurately, including date, time, location, price, age limits, invitation and ID requirements, and refund policy;
- having any agreement with your venue that the event requires;
- holding any permits, licenses, and insurance the event requires, and complying with all laws that apply to it, including laws on alcohol, occupancy, safety, accessibility, ticketing, and consumer protection;
- if alcohol will be available at your event, meeting your responsibilities under Section 6.6 and carrying commercial general liability insurance with liquor liability coverage in amounts customary for events of its size, with proof available to us on request;
- not listing an event that is illegal where it is held or that is prohibited under Stripe's restricted businesses list, including raffles, lotteries, or gambling;
- honoring every valid Pass you sell or issue;
- meeting any law that applies to your event on refunds, advance ticket sales and the holding of proceeds, transfers, pricing, and disclosure; and
- if you cancel, postpone, or materially change an event, telling buyers and known Pass holders promptly and explaining their choices within 3 business days under Section 6.2. A required refund is not discretionary.
8.2 Guest information
To run your event, you can see information about your Guests, such as their names, phone numbers, Pass status, check-in times, promo codes used, and who invited whom, plus event-level totals such as Tickets sold and revenue. Host access does not include Guests' dates of birth or payment card details. Any separate access you have as authorized platform personnel is limited to its permitted Service purposes under the Privacy Policy; it is not permission to use that information in your capacity as Host. The Door Staff limits in our Privacy Policy apply at every event.
You may use Guest information only to run and manage that event and to meet your legal obligations. You must keep it confidential and secure and must not sell it or disclose it except to authorized event personnel who need the permitted information for that event and are bound to protect it, or where disclosure is legally required. You remain responsible for your authorized personnel's compliance. These permissions do not expand the information any role may access under the Privacy Policy or authorize marketing. You must tell us without undue delay and in any event within 72 hours after learning of unauthorized access to Guest information in your control, sooner if law requires. This notice to us does not replace any legally required notification.
You must not use Guest information to text, call, email, or otherwise market to Guests unless you have separately obtained their consent as required by law. The Telephone Consumer Protection Act and similar laws apply to you.
8.3 Door Staff
You may create scanner access codes (PINs) for Door Staff. You are responsible for choosing trustworthy Door Staff, keeping PINs confidential, revoking PINs you no longer need, and all check-ins made with your PINs or by your account. Door Staff may use the Service only to check Guests in to your event.
8.4 Host content
You keep ownership of event descriptions, images, and other content you upload ("Host Content"). You grant Terena Events a worldwide, non-exclusive, royalty-free license to host, store, reproduce, resize, reformat, display, and distribute Host Content to operate and promote the Service and your event, including on event pages and in link previews shared in messaging and social apps. We may exercise this license through service providers solely for these purposes. This license does not supply or replace the separate written consent required by Section 6.8 for promotional use of a person's likeness.
After removal, this license continues only for nonpublic backup, transaction, legal, and dispute records retained as the Privacy Policy describes, not for new advertising or public promotion. We stop public uses we control but cannot promise deletion of independent copies already lawfully shared by others.
You represent that you have all rights needed to upload your Host Content, including permission from any identifiable person who appears in it, and that it doesn't infringe or violate anyone's rights or the law.
8.5 Payments to Hosts
Terena Group LLC is the Seller of Tickets and receives the payments (Section 5.2). Any payment we make to you for your event is governed by a separate written arrangement between you and Terena Group LLC, which we may require before you sell Tickets. Any amount we owe you for Tickets sold is set in that arrangement. Nothing in these Terms promises a payout, a payout date, or a revenue share, and a Guest's refund rights under Section 6.2 come before any payment to you. You are responsible for your own taxes on amounts we pay you. You authorize refunds required by law, the policy stated on your event page, or these Terms, including Sections 5.3, 6.2, 6.7, 16.1, and 16.2.
8.6 Indemnity by Hosts
In addition to Section 14, you agree to indemnify, defend, and hold harmless Terena Events and its members, managers, employees, and agents from third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:
- your events, including the service, sale, or consumption of alcohol at them and injuries, property damage, or losses at them;
- your Host Content;
- your use of Guest information;
- your Door Staff; and
- taxes on amounts we pay you.
This indemnity applies only to the extent a third-party claim arises from your breach, negligence, unlawful conduct, or other event activity for which you are legally responsible. It does not cover the portion caused by negligence, breach, violation of law, or misconduct of a person seeking indemnity. It is subject to Sections 13 and 17.8 and the defense procedure in Section 14. This Section 8.6 applies only between us and a Host that is a separate legal person.
8.7 Our rights to protect Guests and the Service
Subject to applicable law and Section 13, we may take these reasonable measures:
- review, unpublish, or remove any event or Host Content, or pause or stop Ticket sales for any event;
- cancel Passes and refund Guests, in whole or in part, if you don't respond to Guests or to us within 3 business days after a cancellation, postponement, or material change, if we reasonably suspect fraud or a breach of these Terms, or if the law or card network rules require a refund; and
- report suspected fraud to Stripe, card networks, law enforcement, or affected Guests.
You must repay, within 30 days of our request, any refund, chargeback, or dispute fee on your event that we pay because you cancelled the event or because of your material breach of these Terms.
8.8 Relationship and liability to Hosts
A Host that is a separate legal person and Terena Events are independent contractors. The Host's Door Staff, venue, and vendors act for the Host, except where the actual arrangement or law provides otherwise. Subject to Section 13, Terena Events is not liable to such a Host for lost Ticket sales, lost profits, or event losses caused by an outage or error of the Service, scanners, text messages, or payment processing. Its total liability for otherwise limitable claims by that Host will not exceed $100.
No damages cap or exclusion reduces an obligation to pay an owed Ticket refund or an amount we have agreed in writing to pay a Host. These provisions do not limit any Host's responsibilities or liability to Guests for its event.
9. Acceptable Use
You agree not to:
- give false information, impersonate anyone, or create more than one account;
- use bots, scripts, or other automated means to buy Tickets, get around purchase limits, or access the Service, including any conduct prohibited by the federal Better Online Ticket Sales (BOTS) Act;
- resell, forge, duplicate, or tamper with Passes, QR codes, claim links, promo codes, or scanner PINs, except as Section 6.4 allows;
- attempt to gain unauthorized access to the Service, other accounts, or our systems;
- interfere with or disrupt the Service, including by overloading it or abusing sign-in codes;
- reverse engineer, decompile, or scrape the Service, except as the law expressly allows;
- use the Service to list or promote an unlawful, fraudulent, or fake event;
- upload content that is unlawful, infringing, defamatory, obscene, hateful, harassing, or that violates anyone's privacy or publicity rights;
- harass, threaten, or harm other users, Hosts, or Door Staff; or
- use the Service in any way that violates applicable law.
To report a problem or objectionable content, email [email protected]. We may remove content and suspend or terminate accounts that break these Terms.
10. Intellectual Property
The Service, including its software, design, text, graphics, logos, and the Terena and Terena Events names and marks, is owned by Terena Group LLC or its licensors and protected by law. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose under these Terms. You may not use our names, logos, or marks without our written permission.
Feedback. If you send us suggestions or feedback, we may use them without restriction or obligation to you.
11. Copyright Complaints (DMCA)
We respect intellectual property rights. If you believe content on the Service infringes your copyright, send a notice to our copyright contact:
DMCA Agent, Terena Group LLC
Email: [email protected] (subject: "DMCA Notice")
The notice must include:
- your physical or electronic signature;
- identification of the copyrighted work you claim is infringed, or a representative list if multiple works at a single online site are covered;
- identification of the infringing material and where it is on the Service (such as a URL);
- your name, address, telephone number, and email address if available;
- a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and
- a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.
Counter-notification. If your content was removed and you believe that was a mistake or misidentification, you may send a counter-notification to the same email address (subject: "DMCA Counter-Notification"). It must include:
- your physical or electronic signature;
- identification of the removed material and where it appeared;
- a statement, under penalty of perjury, that you have a good-faith belief the material was removed by mistake or misidentification;
- your name, address, and telephone number; and
- a statement that you consent to the jurisdiction of the federal district court for the judicial district where your address is located (or, if your address is outside the United States, any judicial district in which Terena Group LLC may be found), and that you will accept service of process from the person who sent the original notice or that person's agent.
When we remove material in response to a copyright notice, we take reasonable steps promptly to notify the uploader. When we receive a valid counter-notification, we promptly send a copy, including its identifying and contact information, to the original complainant and inform that person that we will restore access in 10 business days. We restore access not less than 10 and not more than 14 business days after receiving the counter-notification, unless we first receive notice that the complainant has filed an action seeking a court order restraining the uploader's infringing activity relating to that material. This procedure does not prevent separate removal for an independent lawful reason under these Terms.
Repeat infringers. In appropriate circumstances, we will terminate the accounts of users who are repeat infringers.
12. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE, EVENTS WE DO NOT ORGANIZE OR OPERATE, AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, AND TERENA EVENTS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT TEXT MESSAGES WILL BE DELIVERED, THAT PASSES OR SCANNERS WILL WORK AT ALL TIMES, OR THAT EVENTS WE DO NOT ORGANIZE OR OPERATE WILL BE SAFE, LAWFUL, OR AS DESCRIBED. Where a scanner is unavailable, Hosts may check Guests in manually.
Each Host must provide its events substantially as described on the event page, subject to Section 6.2. We do not guarantee performance of events we do not organize or operate.
This Section is subject to Section 17.8 (New Jersey users).
13. Limitation of Liability
In plain terms: we are not liable for indirect losses, and our total liability is capped at the greater of what you paid us in the last 12 months or $100. None of that limits liability for injury, death, or property damage caused by negligence or misconduct, for fraud, or for anything the law does not let us limit, and it does not reduce a refund you are owed. The legal wording follows.
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- TERENA EVENTS AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- FOR EVENTS WE DO NOT ORGANIZE OR OPERATE, TERENA EVENTS IS NOT LIABLE FOR THE ACTS OR OMISSIONS OF THE HOST, ITS VENUE, BARTENDERS, CATERERS, OR DOOR STAFF, OR OTHER ATTENDEES. THIS INCLUDES THE SERVICE, SALE, OR CONSUMPTION OF ALCOHOL. THIS DOES NOT EXCLUDE OUR RESPONSIBILITY FOR OUR OWN ACTS OR OMISSIONS OR ANY NONWAIVABLE DUTY.
- TERENA EVENTS' TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID THROUGH THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100. THIS CAP DOES NOT APPLY TO THE LIABILITY DESCRIBED IN THE "PERSONAL INJURY AND PROPERTY DAMAGE" PARAGRAPH BELOW, AND IT DOES NOT LIMIT STATUTORY CONSUMER REMEDIES.
Personal injury and property damage. The exclusions, caps, and indemnities in Sections 6.9, 8.6, 8.7, 8.8, 12, 13, and 14 do not limit or exclude the liability of Terena Events or any Host for personal injury, death, or property damage caused by its own negligence, gross negligence, or willful misconduct. They also do not apply to any event to the extent New York General Obligations Law § 5-326, California Civil Code § 1668, or a similar law of the place where the event is held forbids it, and they never limit liability for fraud, willful injury, gross negligence, violation of law, or any other liability that cannot be limited under applicable law. This Section is also subject to Section 17.8 (New Jersey users).
No damages cap or exclusion reduces an owed Ticket refund or an amount we have agreed in writing to pay a Host. Section 8.8 governs otherwise limitable claims by a separate Host; this Section governs otherwise limitable claims by other users. Neither limits any Host's responsibilities or liability for its event, including ours when we organize or operate an event.
14. Indemnification
To the extent permitted by law, you agree to indemnify, defend, and hold harmless Terena Events and its members, managers, employees, and agents from third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of:
- your intentional breach of these Terms;
- your fraud or unlawful conduct; or
- your intentional or reckless conduct at an event that injures another person.
This does not apply to any claim to the extent it is caused by the negligence or misconduct of Terena Events, a Host, a venue, or their staff. Hosts have the additional obligations in Section 8.6.
For an indemnified claim under this Section or Section 8.6, the protected party must provide prompt notice and reasonable cooperation at the indemnifying party's expense. Delayed notice reduces an obligation only to the extent it materially prejudices the defense. Defense counsel must be reasonably acceptable. A settlement cannot admit fault by, impose a nonmonetary obligation on, or fail to fully release the protected party without its written consent. A material conflict requiring separate representation is handled consistently with the scope of the indemnity and applicable law.
15. Dispute Resolution and Governing Law
15.1 Talk to us first
Before starting a court action, the party with the claim will send the other a written description of the dispute and the relief requested. We will both try in good faith to resolve it for 30 days after receipt. Send your notice to [email protected]. We use the most recent contact information you supplied and a reasonably available alternative if delivery fails. These notices do not substitute for service of legal process.
This process does not prevent small claims proceedings, urgent court relief, government complaints or cooperation, payment disputes, or filings to preserve a legal deadline. To the extent law permits, each party agrees not to assert a limitations defense based on time elapsed during this 30-day period.
15.2 Governing law
These Terms are governed by the laws of the State of New York and applicable federal law, without regard to conflict-of-law rules. This does not deprive you of any protection of the consumer protection laws of the state where you live that cannot be waived by agreement.
15.3 Where disputes are heard
Small claims actions may be brought in the county where you live. Other court proceedings may be brought in the state or federal courts in New York County, New York, or, for a consumer, the courts serving the county where you live, subject to jurisdiction and any venue required by law. These Terms do not require you to arbitrate a dispute.
16. Suspension and Termination
16.1 By you
You may stop using the Service at any time and may ask us to delete your account by emailing [email protected], as described in our Privacy Policy. We handle deletion requests by email. If you hold unused Passes to upcoming events or bought extra Passes that remain unclaimed, we explain which Passes are affected and, at your choice:
- keep only the information and access needed for those Passes to work and for you to manage unclaimed Passes, then complete deletion after the last affected event; or
- cancel those Passes and refund their original buyer under Section 6.2.
Passes already claimed by other people remain valid when their buyer deletes an account. Deletion does not remove the buyer's right to refunds or support; we retain the limited transaction information described in the Privacy Policy for those purposes. A claimed Pass holder may make the deletion election for their own Pass, but any refund goes to its original buyer.
16.2 By us
We may suspend or terminate your account, cancel Passes, or restrict access to the Service if we reasonably believe that:
- you broke these Terms;
- you engaged in fraud, unauthorized resale, abuse, or a chargeback made in bad faith; or
- doing so is necessary to protect the Service, other users, or a Host, or to comply with law.
If we cancel a Pass, or suspend access so it cannot be used for the event, for a reason other than that holder's material breach affecting the Pass, the original buyer receives a refund under Section 6.2. Another user's breach does not by itself forfeit an innocent holder's paid admission. Cancellation for breach remains subject to applicable law and the specific refund rules in these Terms. We explain the reason and provide a support route unless prohibited by law or doing so would create a material security risk.
We may change, suspend, or discontinue the Service. If that prevents use of a paid Pass, we provide a workable admission alternative before the event or refund the original buyer under Section 6.2.
16.3 Survival
Provisions that by their nature should survive termination do, including payment and refund obligations for past Orders (Sections 6.2 and 6.10), Host confidentiality of Guest information (Section 8.2), Host responsibilities for past events, the license in Section 8.4 (until it ends as stated there), Sections 8.5 through 8.8, Sections 10 through 15, and Sections 17 through 19.
17. General
17.1 Entire agreement
These Terms are the entire agreement between you and Terena Events about the Service. Our Privacy Policy describes how we handle information. Policies a Host shows on its event page are an agreement between you and that Host. Each Host is bound by its own event policies, including us when we are the Host. We perform the refund obligations in Section 6.2 as Seller. An event policy cannot reduce an express protection in these Terms or applicable law.
Any written payment arrangement under Section 8.5 controls payments between the Host and Terena Events if it conflicts with these Terms. It cannot reduce a Guest's rights.
17.2 Severability, waiver, and assignment
If any provision is found unenforceable, the rest of these Terms remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; this does not restrict a Ticket transfer or resale permitted under Section 6.4 or applicable law. We may assign them in connection with a merger, acquisition, reorganization, or sale of assets.
17.3 Force majeure
We are not liable for delays or failures caused by events beyond our reasonable control, such as natural disasters, severe weather, public health emergencies, outages of carriers or service providers, government action, or labor disputes. This Section does not affect any refund owed under these Terms.
17.4 Electronic communications
You consent to receive agreements, receipts, notices, and other communications from us electronically: by text message to the phone number on your account, through the Service, or by email if we have one. To access and retain them, you need a text-capable phone, Internet access, a current web browser, and a way to save or print the records.
Contact [email protected] to update delivery details, request a free paper copy, or withdraw consent. Withdrawal applies prospectively as provided by law and may prevent future use of features requiring electronic delivery. It does not cancel an existing Ticket without the admission alternative or refund protections in Section 16, or invalidate records properly provided before withdrawal.
We use electronic records to satisfy a legal writing requirement only where law permits and after obtaining any required consent. Where law requires further disclosures or a demonstration of access, we provide that process first, including any required notice and renewed consent opportunity if technical requirements materially change.
17.5 Third-party services
The Service links to or relies on services we don't control, such as Stripe, Apple Pay, Google Pay, calendar apps, and mobile carriers. Their own terms govern your use of them. This does not exclude our own obligations under these Terms, responsibility for our own acts or omissions, or any responsibility the law does not permit us to exclude.
17.6 Accessibility and security
We aim to make the Service usable by everyone. If you have trouble using it, email [email protected] and we will help. Accessibility of an event and its venue is the Host's responsibility (Section 8.1).
To report a security vulnerability, email [email protected] with the subject "Security." Please give us a reasonable time to fix the issue before disclosing it.
17.7 Where we operate and sanctions
The Service is operated from the United States and is intended only for users in the United States. Accounts require a U.S., Canadian, U.K. or Australian mobile phone number that can receive sign-in texts. You represent that you are not located in a country subject to a U.S. embargo, and that you are not on any U.S. government list of prohibited or restricted parties.
17.8 New Jersey users
If you live in New Jersey, the exclusions, caps, and indemnities in Sections 6.9, 8.6, 8.7, 8.8, 12, 13, and 14 do not apply to you to the extent they would limit liability for negligence, recklessness, or intentional misconduct, or any right under the New Jersey Consumer Fraud Act or the New Jersey Punitive Damages Act.
17.9 California users
Under California Civil Code § 1789.3, California users are entitled to this notice: the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
17.10 Legal notices to us
Send legal notices to Terena Group LLC at [email protected].
18. Changes to These Terms
We may update these Terms and identify and retain each version. For existing users, we give direct notice describing a material change at least 30 days before it applies. If you keep using the Service after that date, you accept the change. A prominent Service notice may supplement direct notice.
Changes do not reduce rights relating to Tickets already purchased or issued, or apply to disputes arising from earlier conduct, without a separate valid agreement permitted by law. Accessing an existing Pass, requesting a refund or support, or exercising a legal right does not by itself accept changed Terms.
Terms for an optional new feature may apply when you choose that feature after receiving its terms; they do not alter existing transactions. If you do not accept new Terms, we explain any effect on future use while preserving existing admission, refund, and other accrued rights.
